These Terms and Conditions (“Terms”) govern your access to and use of the CliqServe platform, services, website, and related offerings (“Services”). By using our Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

1. Definitions

• “CliqServe,” “we,” “our,” or “us” refers to CliqServe, the company providing the Services.
• “You” or “User” refers to any individual, business, or entity accessing or using the Services.
• “Services” refers to the CliqServe F&B operating system, website, applications, modules, and any related features or tools provided by CliqServe.

2. Eligibility

By using our Services, you confirm that:

• You are at least 18 years old.
• You have the authority to enter into a binding contract on behalf of your business or organization.
• Your business is legally permitted to use F&B operating software in Bangladesh.

3. Account Registration

• Users may be required to create an account to access certain Services.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are fully responsible for all activities conducted through your account.
• Notify us immediately of any unauthorized use of your account.

4. Services Use

• CliqServe provides an F&B operating system designed to streamline restaurant operations.
• Users agree to use the Services only for lawful purposes and in compliance with local regulations in Bangladesh.
• You may not:
  • Reverse engineer, decompile, or attempt to extract source code.
  • Use the Services to store or transmit illegal content.
  • Interfere with or disrupt the integrity of the platform.

5. Subscriptions and Payments

• Access to certain Services requires subscription fees. All payments are governed by the plan selected.
• Payments must be made in accordance with the pricing plan. Late or failed payments may result in suspension of Services.
• All fees are non-refundable unless required by law.
• Additional hardware or third-party services may be billed separately.

6. Intellectual Property

• All intellectual property rights in the Services, including software, design, branding, logos, content, and documentation, remain the property of CliqServe or its licensors.
• You may not copy, modify, distribute, or create derivative works of our intellectual property without written permission.

7. Data and Privacy

• Use of the Services is subject to our Privacy Policy, which details how we collect, store, and process personal and business data.
• You grant CliqServe a license to use your data solely for the purpose of providing and improving the Services.

8. Third-Party Services

• The Services may include integrations with third-party software or platforms.
• CliqServe is not responsible for the availability, accuracy, or performance of third-party services.
• You must comply with any applicable third-party terms when using integrated services.

9. Limitation of Liability

• To the maximum extent permitted by law, CliqServe will not be liable for:
  • Any indirect, incidental, consequential, or punitive damages.
  • Loss of profits, revenue, or business opportunities.
  • Data loss, system downtime, or errors arising from the use of the Services.
• Our total liability, whether in contract, tort, or otherwise, will not exceed the fees paid by you to CliqServe in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless CliqServe, its officers, employees, and affiliates from any claims, damages, liabilities, costs, or expenses arising from:

• Your use of the Services in violation of these Terms.
• Your violation of any applicable law, regulation, or third-party rights.

11. Termination

• CliqServe may suspend or terminate your access to the Services immediately if you violate these Terms.
• You may terminate your account at any time by contacting support.
• Upon termination, your right to access the Services ceases, but obligations regarding payments, liability, and data security survive.

12. Modifications to Services and Terms

• CliqServe may update or modify the Services at any time, including adding or removing features.
• We may revise these Terms periodically. Updates will be posted on our website with the effective date.
• Continued use of the Services constitutes acceptance of the updated Terms.

13. Governing Law and Jurisdiction

• These Terms are governed by the laws of Bangladesh.
• Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts in Dhaka, Bangladesh.
